FRANCHISEE AGREEMENT

NATIONAL KID’S SCHOOL

This agreement made is on this the…………day of …………………20……. Between…………………….., aged about……… yrs. Do/so/wo …………………………………………………., director NATIONAL KID’S SCHOOL having its corporate office at: RZ 74, GROUND FLOOR, UTTAM NAGAR, NEAR: WEST METRO STATION, PIN NO-110059 (Here after called as the FIRST PARTY).

AND

 

……………………………………………  aged about ………. Yrs. Do/so/wo. …………………………….. who is running a play school in the name and style of ……………………………………………… having its school at  ……………………………………………………………………………………   (Here after called as the SECOND PARTY).

Whereas the FIRST PARTY has opened a kids school in the name and style of M/S. NATIONAL KID’S SCHOOL. And granting franchise to the interested parties for using its brand name, study materials, marketing assistance, system maintenance throughout the nation.

That the SECOND PARTY approached the first party for granting franchise of right to conduct classes in his existing school in the name of the school of the FIRST PARTY, NATIONAL KID’S SCHOOL.

The first party has agreed for the proposal of the SECOND PARTY for a period of 5 years ……………………………………………………………………… on the terms and condition below showed:

  • That the SECOND PARTY shall pay sum of rupees …………………….. Only. NON REFUNDABLE. Towards the franchise agreement cost and registration fee different courses as mentioned by the FIRST PARTY.
  • It is agreed between the parties that the SECOND PARTY shall collect the registration fees as per the fees structure laid down by the FIRST PARTY (ANNEXTURE ATTACHED) which shall final binding upon the SECOND PARTY.
  • That the parties further agreed that the SECOND PARTY shall maintain the school as per the rule and regulation lay down by the FIRST PARTY and shall maintain changes in course an infrastructure as per requirements of the FIRST PARTY.
  • That the SECOND PARTY shall solely bear all the expenditure for running the school of the SECOND PARTY having his school at.
  • That the SECOND PARTY shall provide service/assistance for implementing any new projects by the other division of the FIRST PARTY.
  • The FIRST PARTY shall bear the entire expenditure of the study materials, advertisement materials, and stationary as per the requirements to run the school of the SECOND PARTY after deposits the payments.
  • The SECOND PARTY shall not reproduce the materials supplied by the FIRST PARTY. Such as course materials, slides, over videos’, manuals, workbook and CDs. Etc. and all the materials supplied by the FIRST PARTY and copyrighted and may not be reproduced.
  • That the SECOND PARTY shall be solely responsible for any loss due to postponement and incompletion for courses and the FIRST PARTY shall not be responsible for any losses including pecuniary loss.
  • That the SECOND PARTY shall allow the personal and duly authorized by the FIRST PARTY to inspect the premises, financial records, software and hardware at any time.
  • That the SECOND PARTY shall collect the fee from the students only issuing the receipts supplied by the first party bearing their name and not otherwise. The SECOND PARTY shall not print any receipts book for collections of fee from students and for any other propose.
  • That the FIRST PARTY shall provide necessary training for marketing and technical personnel as the cost of the SECOND PARTY from time to time.
  • That the FIRST PARTY shall provide transfer facility to the student from one school to another school after complying with the require conditions.
  • That the FIRST PARTY alone in its name shall issue Certificates to the student on successful completion of their course at the school covered by the agreement or at the centre after complying with require condition.
  • That the SECOND PARTY shall pay the registration fees amount collected every month as mentioned in condition. Before 10th of the succeeding month, failing which the SECOND PARTY shall pay interest on the amount due at the rate of 18% per annum in addition the first party shall be at liberty to stop all future obligation under the agreement without any further notice.
  • That the SECOND PARTY has to start the school, tuition, coaching or institute within one month from the date of agreement.
  • The SECOND PARTY (Franchisee) will take a minimum five admissions per month or thirty admissions annually depending on the location. Failures to do so, the organization reserve the right and option to terminate the agreement.
  • The agreement is valid for FIVE YEARS from the date of agreement and this agreement is subject to renewal after due date.
  • That if the SECOND PARTY is found misusing the name of the first party, the FIRST PARTY shall be at liberty to cancel the license with one month prior notice and shall be liberty to request to law course as may be warranted in such circumstances.
  • That without the permission of the first party the SECOND PARTY shall not take any franchise from any company or organization within the validity of the agreement.
  • That any dispute arises between the parties after understanding its conditions have put their signatures in presence of below signed witnesses on this day, month and year afore mentioned.

 

 

Note: Our organization is providing franchise for the session of 2023-2024 in just Rs. 11000/-.  In which the organization will not take any kind of monthly charges or royalty from the franchisee.  Only an annual fee of Rs 900 per student will be charged, within which the institution will provide I-card, mark sheet, online result of the examination, and syllabus of the students, etc. to the students.  It is mandatory for the franchisee to send the attendance of the students to the institution every day at 11:00 am.  On behalf of the organization, the franchisee is given 1000 handbills, 1 master banner, 2 gate banners and 1 Letter Head Book (100 Pages), 1 Counseling Book (100 Pages), 500 visiting cards and on the official website of the organization, the franchisee will be given login ID and password, in which they will be able to secure the details of their students.  Apart from all this, the franchisee will have to pay examination theory fee, Rs.50 per subject per student, and Rs.300 per prospectus and admission form which is mandatory.  At the time of taking the franchise, initially it is mandatory for the franchisee to take 10 prospectuses.  From time to time, online or offline promotion will be done jointly by the organization and the franchisee.  Apart from this, the organization can provide many other facilities to the franchisee, which will be mentioned in the agreement while giving the franchisee, whose fees can be different.  Minimum entry is mandatory to maintain the franchise.  The franchisee is completely free to charge the students according to their own fees.  Apart from all these, the organization can make many other changes, whose rights are reserved with the organization.
